Terms Of Service
1. Agreement to Terms
TroopForge is a multi-tenant scout troop financial management platform operated by 13 Guys Named Ed, LLC, a Florida limited liability company (“13 Guys Named Ed,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the TroopForge application, related websites, and services (collectively, the “Service”). By accessing or using the Service, including on behalf of an organization or troop, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein. If you do not agree, do not access or use the Service.
2. Eligibility and Account Structure
The Service is intended for authorized representatives of scout troop organizations and their invited members. Account owners must be at least 18 years old and legally capable of entering into contracts. Scouts under the age of 13 may not create user accounts; scouts aged 13 to 17 may only access the Service with the consent of their parent or guardian and invitation from an account administrator.
TroopForge uses an account-based multi-tenant model. Each troop organization (an “Account”) is administered by a designated treasurer or leader who controls member records, invitations, role assignments, and subscription decisions. Users invited into an Account may have distinct roles (e.g., treasurer, leader, parent, scout) with different permissions. You are responsible for safeguarding login credentials and ensuring that role assignments reflect current troop responsibilities.
3. Organization and Family Data
The Service enables Account administrators to create and manage sub-troops, family groupings, member records, and associated financial accounts. You represent that you have the authority to provide and manage this data, and you agree to obtain any necessary permissions from parents or guardians before storing personal information about minors. You remain responsible for the accuracy, completeness, and lawful collection of all data you submit or maintain within your Account.
Member records may exist without corresponding user accounts. Invited users are automatically linked to their existing member records. You agree not to misuse family or member information, and to update or delete records when they are no longer needed for troop administration or financial reporting.
4. Subscription Plans and Payment Terms
Access to the Service requires an active subscription. The account owner selects a subscription plan during onboarding and authorizes payment through our payment processor. Subscription fees are billed in accordance with the plan selected and are non-refundable except where required by law. You authorize us and our payment processor to charge all applicable fees, taxes, and renewal amounts using the payment method on file.
Account owners may upgrade, downgrade, or cancel plans through the Service. Downgrades may limit features or data storage. If you cancel, you remain responsible for any outstanding fees and your access will continue until the end of the current billing period. We may suspend or terminate access for non-payment or fraudulent activity.
5. Financial Transactions and Reporting
The Service supports the tracking of troop, family, and member balances, internal transfers, event fees, and related financial activity. You are solely responsible for the accuracy of transaction entries, reconciliation with external banking records, and compliance with applicable financial reporting requirements. We do not provide accounting, tax, or legal advice, and the Service is not a substitute for professional bookkeeping or oversight.
Future integrations with external payment processors will be subject to additional terms and may require you to enter into separate agreements with those providers. You agree that we are not liable for any errors, disputes, chargebacks, or regulatory issues arising from transactions that you initiate, authorize, or record through the Service.
6. Acceptable Use
You may use the Service solely for lawful troop administration and financial management. You agree not to:
- Attempt to access, probe, or use the data of another Account without authorization.
- Upload or store malicious code, automated scripts, or content that infringes intellectual property, privacy, or publicity rights.
- Use the Service to solicit funds or sell products unrelated to troop activities.
- Interfere with the integrity, security, or performance of the Service or associated infrastructure.
- Misrepresent your identity, role, or affiliation with a troop or family.
We reserve the right to investigate violations, suspend access, or terminate Accounts that breach these Terms or applicable laws.
7. Privacy and Data Security
We implement administrative, technical, and physical safeguards—including tenant isolation, encrypted storage of sensitive financial data, and audit logging—to protect your information. However, no system is completely secure, and we cannot guarantee absolute protection. You are responsible for maintaining the confidentiality of user credentials, ensuring authorized users follow good security practices, and promptly notifying us of suspected unauthorized access.
Our collection, use, and disclosure of personal information is described in the TroopForge Privacy Policy. By using the Service, you consent to the handling of information as described in that policy. You agree to comply with all applicable privacy and youth protection regulations, including obtaining parental consent where required.
8. Intellectual Property and License
13 Guys Named Ed and its licensors retain all rights, title, and interest in the Service, including all software, branding, documentation, and content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for troop administration within the Account for which you are authorized. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service, nor may you use our trademarks without prior written consent.
You retain ownership of the data and content you upload to the Service. You grant us a worldwide, royalty-free license to host, process, and display that content solely as necessary to operate and improve the Service and to fulfill our legal obligations.
9. Service Availability and Support
We strive to maintain 99.9% uptime and provide timely support, but the Service may experience planned maintenance or unplanned outages. Features, functionality, and support levels may change over time. We will endeavor to give advance notice of material changes where practicable. We are not liable for any unavailability, delays, loss of data, or other damages resulting from maintenance, upgrades, or events beyond our reasonable control.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, 13 GUYS NAMED ED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 13 GUYS NAMED ED, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ACCOUNT TO US FOR THE SERVICE DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless 13 Guys Named Ed, its affiliates, and their respective officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Suspension and Termination
We may suspend or terminate access to the Service for any Account or user that violates these Terms, engages in fraudulent or unlawful activity, or poses a security or operational risk. Account owners may request deletion of their Account by contacting support. Upon termination, your right to access the Service ceases immediately, but certain provisions of these Terms (including Sections on payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
Following termination, we may retain Account data as required by law or for legitimate business purposes. We will make commercially reasonable efforts to provide account owners with an opportunity to export their data prior to permanent deletion.
14. Changes to the Service or Terms
We may update the Service or these Terms from time to time to reflect new features, legal requirements, or business practices. If we make material changes, we will provide notice through the Service, via email, or by other reasonable means. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service before they take effect.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16. General Terms
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of such right or provision. You may not assign or transfer these Terms or your rights or obligations without our prior written consent; any attempt to do so is void. We may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
